Open a Branch in Sharjah: Foreign or Free Zone Company

Open a branch in Sharjah as a foreign or free zone company: SEDD's document list, Ministry of Economy registration, attestation, tax points and the agent rule.

Many companies reach Sharjah in two steps: first a company abroad or in another UAE zone, then a branch. To open a branch in Sharjah and serve local customers, the authorities publish three mainland routes. A foreign company can open a branch, a free zone company can open a branch, or a mainland company can open a local branch of its own licence. This guide draws on the Sharjah Economic Development Department’s (SEDD) FAQ and the UAE government portal. Procedures vary by activity, so treat it as a map, not a legal opinion.

Why open a branch rather than a new company?

The UAE government portal says free zone companies can trade inside the zone and internationally. To sell locally, they must use a licensed mainland distributor or set up a mainland branch or company, and direct mainland sales are generally not permitted without the required licences or approvals (u.ae, updated 28 September 2026). A branch keeps one legal owner (the parent) and one set of accounts; a new company is a separate legal entity.

The choice shapes tax, liability and control.

What documents does SEDD list for a branch?

RouteWhat SEDD lists
Branch of a foreign company, or a free zone company branch, on the mainlandLicence and register of the foreign company; its memorandum of association and attachments; partners’ or board minutes approving the branch; an approved agency contract between the foreign company and the local agent; power of attorney for the representative; registration in the Ministry of Economy’s foreign companies register; a no-objection letter from the Department of Free Zones to open the branch in the emirate
Local branch of a mainland companyCertified minutes of meeting from SEDD; approved memorandum of association of the main company with attachments; copy of the main company licence; commercial register, if any
Sale or change of an LLC’s branchLicence form; approved sale contract and waiver; approved memorandum of association from SEDD’s Legal Affairs department; approved minutes separating the branch from the main company; a seven-day advertisement in a local daily

(SEDD FAQ, read 3 October 2026: SEDD)

SEDD adds that documents issued abroad must be attested by a UAE embassy or the UAE Ministry of Foreign Affairs and accompanied by a certified legal translation.

What rules apply to branches?

From the same FAQ:

  • A company can open an unlimited number of branches, but each must be identical to the main licence. A branch’s activities may be fewer than those of the main licence.
  • Branches of limited liability companies can be sold to any party or company, and their legal status amended under SEDD’s procedures.
  • A sole proprietorship may be owned by UAE or GCC nationals only, so that form is not open to most foreign owners.

The government portal also lists extra approvals for particular activities. These include the Ministry of Economy’s Auditors Department for a foreign company’s branch or a representative office, the Securities and Commodities Authority for investment advisory, and the Central Bank for financial institutions. It lists an “Initial approval for foreign entity branch” service from the Ministry of Economy and Tourism as well (u.ae, updated 16 July 2026).

Before you rely on this: The Ministry of Economy and Tourism states that a foreign company wishing to open a branch has not needed a UAE national agent since the Commercial Companies Law of 2020 (Ministry of Economy and Tourism). SEDD’s FAQ still lists an approved agency contract with a local agent among the documents. The government portal lists Federal Decree-Law No. 32 of 2021 on Commercial Companies, which we have not read. We could not determine how these statements apply to a specific activity today. Ask SEDD before preparing documents.

What are the other routes from a free zone to the mainland?

A branch is not the only route. The government portal lists a mainland distributor, a mainland branch or a mainland company. SRTIP (Sharjah Research, Technology and Innovation Park) advertises a “Dual Licensing Option (Freezone & Mainland)” on its setup page, which is a marketing page. We have not confirmed how dual licensing works in practice; ask the zone for the legal basis and the mainland authority that issues the second licence.

Dubai’s Executive Council Resolution No. 11 of 2025, issued in March 2025, lets eligible free zone establishments operate outside the zone in Dubai through a branch licence or temporary permit (Dubai Legislation Portal). It applies to Dubai only, and we did not find an equivalent Sharjah resolution. For Sharjah, rely on SEDD’s FAQ.

Which tax points apply to a branch?

A branch does not sit outside the tax system. The Ministry of Finance says taxable persons include non-resident juridical persons that have a permanent establishment in the UAE, and that all taxable persons must register for corporate tax (Ministry of Finance; Federal Decree-Law No. 47 of 2022). VAT thresholds are tested at the level of the registrant; see VAT registration for Sharjah businesses and corporate tax for small businesses.

A free zone company that opens a mainland branch should ask its tax adviser how that income is treated.

What are the practical steps?

  1. Decide the activity the branch will perform; it must fit within the parent’s licence.
  2. Prepare parent documents, attested and with a certified translation if issued abroad.
  3. Request the no-objection letter from the free zone’s department if the parent is in a free zone.
  4. Reserve premises and prepare a lease; see renting an office or shop in Sharjah.
  5. Register through SEDD and the Ministry of Economy as required.
  6. Plan tax registration and bank arrangements.
  7. Check signage and permits before opening; see Sharjah signboard and advertising permits.

Consultants can help with the paperwork; how to choose a Sharjah business setup consultant lists the questions to ask.
